Payment Terms

These Payment Terms (“Terms”) are applicable upon eligibility and activation of each Distribution Service. By utilizing or accessing the Distribution Services, you are consenting to abide by these Terms, subject to periodic amendments. In cases of conflict between the Terms of Use and these Payment Terms or any specific product terms, the Payment Terms shall take precedence.

  1. Confidentiality

Upon utilizing or accessing the Distribution Services, you acknowledge that these Payment Terms constitute confidential information. You agree to:

  • Safeguard and treat these Payment Terms with due confidentiality, employing a reasonable standard of care.
  •  Restrict disclosure of these Payment Terms to employees or representatives requiring such information for these Payment Terms.
  • Refrain from disclosing these Payment Terms to any third party, recognizing such action as a violation of these Payment Terms.
  • Utilize the information contained within these Payment Terms exclusively by the terms herein and to fulfill your obligations under these Payment Terms. It is understood that all information within these Payment Terms remains the property of BookBol, and accessing these Payment Terms does not confer any rights or interests in said information.

2. Monetized Content

  • Payment for Monetized Content sales to distribution partners will be made following Section 3 below.
  • You will establish a suggested retail price (“SRP”) and suggested library price (“SLP”) for your Monetized Content.
  • Without prejudice to the Terms of Use, BookBol reserves the right to withhold payments due to breaches of the Terms or detected invalid activity, including but not limited to artificial activity facilitated by bots, scripts, or other automated/manual means. Payment may be delayed pending investigation of such activities by BookBol. Should the investigation conclude no breach, payment shall resume, limited to the extent of any abuse detected.
  •  Notwithstanding any other provision within the Terms, royalties shall not be paid for:
  1. access by a group of users to any Monetized Content for which access has been purchased by a given user in such group in a manner that access to any such Monetized Content is shared among such group users (e.g. family sharing);
  2. any use of (1) an excerpt of Monetized Content and (2) any related materials used for promotional purposes;
  3. any amount refunded by a distribution partner to a user for the return of Monetized Content, if applicable; and
  4. any consumption of Monetized Content by a user on Spotify using a redemption code.

3. Reporting & Payment

 

  • Sales Reporting
  1.  Within forty-five (45) business days following the end of each relevant period, BookBol will furnish you with a statement (“Sales Report”) containing all necessary information received from distribution partners for calculating royalties during the preceding period.
  2. Preliminary sales reporting information provided under the Terms of Use shall not be considered a Sales Report and should not be used for royalty calculations.

b. Payment

  1. BookBol will remit any specified amounts outlined in the Sales Report within thirty (45) business days of its provision.
  2. BookBol reserves the right to require a minimum accumulation of payable amounts before initiating payment.
c. Taxes

Unless explicitly stated otherwise, amounts payable under these Terms are exclusive of VAT, GST, HST, sales taxes, or similar taxes, duties, charges, or assessments (“Indirect taxes”). Indirect taxes will be applied by local legislation. Each party shall bear responsibility for payment of all Indirect taxes arising from the Terms or otherwise. Additionally, each party shall be responsible for the collection and remittance of relevant Indirect taxes. Any income tax assessed on a party shall be solely their responsibility. BookBol retains the right to withhold taxes on payment amounts as mandated by applicable law. Both parties agree to furnish all necessary documentation in the event of a tax audit.

*Certain distribution partners reserve the right to extend the distribution of your Monetized Content to additional platforms as per the relevant distribution model outlined above. All royalties about such distributions will be consolidated within the Sales Report associated with the distribution partner selected within the Workflow.

**Unless specified otherwise in these Payment Terms, you shall receive 70% of all royalty receipts, while BookBol shall receive a distribution fee equivalent to 30% of royalty receipts as detailed in the provided table. For royalty receipts stemming from distribution on Spotify, you shall receive 90% of such receipts.

***Royalty payments are calculated based on the revenues generated by the distribution partner, not on the suggested retail price (SRP) or suggested library price (SLP). For distribution on Audible, there exists a minimum distribution term of seven (7) years under certain circumstances. You understand that if you opt for BookBol to cease distribution of the Monetized Content to Audible, the removal of such content may not occur until the completion of the seven (7) year term.

b. Distribution Models

  1. “A La Carte”means a distribution model under which end-users purchase access to individual Monetized Content for a stated cash price. For retail distribution partners, a sale occurs when an end-user purchases access to the Monetized Content. For library distribution partners, a sale is deemed to occur when a school or library purchases access to the Monetized Content, which can be circulated to one (1) end-user at a time.
  2. “Cost per Checkout”means a distribution model used by libraries under which end-users are permitted to borrow access to a copy of the Monetized Content for a specific period of time that automatically terminates upon expiration of the lending period or return of the Monetized Content. This distribution model allows each copy of the Monetized Content to be checked out by one (1) end-user. A sale occurs each time a copy of the Monetized Content is checked out by the end-user.

Royalty payouts for the distribution of Monetized Content on hoopla will be calculated according to the total duration of the content, detailed as follows:
